These Terms and Conditions (“Terms”) govern your access to and use of Jingle Chain’s website and services, and apply to any purchase or use of a Jingle Chain custom song (“Anthem”), team anthem, or business jingle (“Jingle”). Jingle Chain operates from London, Ontario, Canada.
By purchasing from Jingle Chain or using our website, you agree to be bound by these Terms.

1. Intellectual Property Ownership
All music, lyrics, recordings, and other creative content that Jingle Chain produces are protected by copyright and other intellectual property laws. **Unless you purchase a commercial rights license or a full rights buyout (if offered), Jingle Chain retains ownership of all rights, title, and interest in and to every song we create**, including the master recording and the underlying composition.
* **No transfer of ownership:** You are purchasing a license to use the work, not ownership of the work.
* **Your submitted content:** You retain ownership of any original text or materials you submit, but you grant Jingle Chain the rights needed to use that content to create the final work (see Section 6).
* **Reservation of rights:** All rights not expressly granted to you are reserved by Jingle Chain.

2. Personal Use License (Default)
If you purchase an Anthem or Team Anthem **without** a Commercial License, you receive a **perpetual, worldwide, non-exclusive, non-transferable license** to use the delivered song for **personal, non-commercial purposes only**.
Permitted personal uses include:
* Private listening and sharing with friends and family
* Posting to personal social media in a personal context (not ads, not business promotion)
* Playing at private, unbranded events (birthdays, family gatherings, weddings)
Not permitted without a Commercial License:
* Use in paid ads, marketing, or promotion of any business, brand, product, or service
* Use in monetized content (e.g., monetized YouTube channels, sponsored podcasts, paid influencer content)
* Public distribution, sale, or upload to streaming platforms (unless distributed by Jingle Chain through an add-on)
* Resale, sublicensing, or transferring rights to any third party
If you use a song outside the permitted personal-use scope, you may be in breach of these Terms and may be infringing copyright.

3. Commercial License (Required for Commercial Use)
If you intend to use a song for any **commercial, promotional, branded, or revenue-generating purpose**, you must purchase a **Commercial License** where available (or obtain written permission from Jingle Chain).
A Commercial License is required for uses such as:
* Paid ads, boosted posts, radio, TV, or promotional campaigns
* Business pages, brand channels, corporate events, or branded content
* Monetized content and platforms where the song supports revenue generation
* Professional teams and organizations using the track as a marketing asset
**A Commercial License grants expanded usage rights but does not transfer ownership.** Jingle Chain retains copyright ownership unless a separate written buyout agreement is executed.

4. Royalties, Distribution, and Public Platforms
Unless a separate written agreement states otherwise:
* **All royalties and revenue generated directly from the song** (including streaming, platform royalties, performance royalties, and content identification revenue) belong to **Jingle Chain** as the rights holder.
* If you purchase Streaming & Social Distribution, Jingle Chain (or its distributor) will distribute the song to platforms on your behalf.
* You may not independently distribute or upload the song to streaming services unless explicitly authorized in writing by Jingle Chain.

5. Revisions and Satisfaction Policy
Anthems and Team Anthems
* Each order includes **one free revision**.
* If you are still not satisfied after the revision, Jingle Chain may issue a **full refund** under our satisfaction guarantee.
**Important:** If a refund is issued, you **do not** receive rights to use the Anthem in any way. You must delete all copies, and any license granted to you is void.
Jingles
* **No refunds for jingles once production begins.**
* Jingles include **one focused revision** for clarity/alignment with the original request (e.g., pronunciation, messaging, minor adjustments). Requests that materially change direction may require an additional fee.

6. Your Content and Responsibilities
You may submit names, stories, preferences, slogans, and other materials (“User Content”) to help us create your song.
You agree that:
* You have the right to provide the User Content
* Your User Content does not infringe another party’s rights
* Your User Content is not illegal, defamatory, hateful, or otherwise harmful
You grant Jingle Chain a limited, royalty-free license to use your User Content solely to produce and deliver your order, and to provide support/revisions related to it.

7. Payment, Pricing, and Eligibility
* Payments are due at checkout and processed through a secure third-party payment provider.
* Prices are displayed in Canadian dollars (CAD) unless stated otherwise. Taxes may apply.
* You must be of legal age to make purchases using a credit card or other accepted payment method.

8. Use of Technology (Including AI)
Jingle Chain uses modern production tools, including AI-assisted vocal processing, to move faster and offer more variety in sound and vocal character.
Lyrics and creative direction are handled by real musicians. Every anthem is written intentionally and finished with hands-on production, editing, and mixing to meet a professional standard.

9. Third-Party Claims, Similarities, and Takedowns
Jingle Chain creates original work, but in rare cases a third party may claim similarity or infringement.
If a third-party claim arises, Jingle Chain reserves the right to:
* Investigate the claim
* Comply with lawful takedown requests and platform policies
* Remove, revise, or replace the track if needed
* **Issue a refund** if the track must be taken down and cannot reasonably be replaced
If a refund is issued due to a takedown/infringement concern, you must cease use of the track and delete all copies.

10. Indemnification
You agree to indemnify and hold harmless Jingle Chain from claims, damages, and expenses (including legal fees) arising from:
* Your breach of these Terms
* Your misuse of the song outside the permitted license
* Your User Content infringing third-party rights or violating law

11. Disclaimer of Warranties
Services and digital products are provided “as is” and “as available.” Jingle Chain does not guarantee uninterrupted access, error-free delivery, or that the song will meet every subjective expectation. Any warranties that cannot be excluded by law remain in effect.

12. Limitation of Liability
To the fullest extent permitted by law:
* Jingle Chain will not be liable for indirect, incidental, consequential, special, or punitive damages.
* Jingle Chain’s total liability for any claim will not exceed the amount you paid for the specific order giving rise to the claim.

13. Privacy
Jingle Chain collects information needed to fulfill your order (such as name, email, and project details). We do not sell your personal data. We use your information for:
* Order confirmation and delivery
* Customer support and revision requests
* Operational communications related to your order
Payment details are handled by secure third-party processors; Jingle Chain does not store full card information.

14. Governing Law and Jurisdiction
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts located in Ontario, Canada, unless prohibited by mandatory consumer protection law.
